Please read these Terms of Service ("Terms") carefully before using the website located at www.ngram.co.in (the "Platform") operated by N Gram Technologies ("Company", "we", "us", or "our"). By accessing or using the Platform, you agree to be bound by these Terms.

1. Acceptance of Terms

By accessing the Platform, you confirm that you are at least 18 years of age, have the legal capacity to enter into binding agreements, and agree to comply with these Terms and all applicable laws and regulations. If you do not agree to these Terms, you must immediately discontinue use of the Platform.

2. Services Description

N Gram Technologies offers the following services through this Platform:

• Mutual Fund Distribution: Facilitating purchase, redemption, and switching of mutual fund units as an AMFI-registered distributor
• BBPS Bill Payments: Facilitating payment of utility bills, recharges, and other bill payment services through the Bharat Bill Payment System (BBPS)
• Financial Tools: Calculators, risk profilers, and educational content to assist users in financial planning
• Portfolio Reporting: Information and analytics about mutual fund investments made through the Platform

3. Eligibility

To use our investment services, you must:

• Be an Indian resident or NRI (subject to applicable regulations)
• Be at least 18 years of age
• Complete KYC (Know Your Customer) verification as required by SEBI and AMFI guidelines
• Provide accurate and complete information during registration and onboarding

4. User Obligations

As a user of this Platform, you agree to:

• Provide accurate, current, and complete information at all times
• Keep your account credentials confidential and notify us immediately of any unauthorised access
• Use the Platform only for lawful purposes and in accordance with these Terms
• Read all scheme-related documents (SID, SAI, KIM) carefully before making any investment
• Make investment decisions based on your own independent assessment of risk and suitability
• Not use the Platform to engage in money laundering or any activity that violates PMLA or other applicable laws

5. Prohibited Activities

You must not:

• Attempt to gain unauthorised access to any part of the Platform or its systems
• Use automated tools, bots, or scrapers on the Platform without prior written consent
• Upload or transmit malicious code, viruses, or harmful data
• Impersonate any person or entity, or misrepresent your affiliation
• Use the Platform to harass, defraud, or harm other users
• Violate any applicable laws, including SEBI regulations, FEMA, or PMLA

6. Intellectual Property

All content on this Platform, including but not limited to text, graphics, logos, calculators, educational materials, and software are the property of N Gram Technologies or licensors permitted by N Gram Technologies and is protected by The Copyright Act, 1957, The Copyright Rules, 1958 and other applicable intellectual property laws. Any form of reproduction, distribution or creation of derivative works, directly or indirectly, without our consent is expressly prohibited.

7. Investment Transactions

N Gram Technologies facilitates mutual fund transactions as a distributor and does not act as an investment adviser. All investment decisions, gains and aftermath of the decisions solely vest with you. We earn a commission/trail fee from AMCs for facilitating your investments. This creates a potential conflict of interest; you are advised to consider this while making investment decisions.

Transaction processing timelines are subject to AMC cut-off times, RTA processing, and market conditions. N Gram Technologies shall not be held responsible for any delays attributable to third parties, bank failures, or market closures.

8. BBPS / Bill Payment Services

Our BBPS services are facilitated through authorised BBPS Operating Units. Bill payments are processed subject to the biller's acceptance and payment network availability. N Gram Technologies is not responsible for service interruptions caused by billers, banks, or the BBPS network. Transaction refunds (if applicable) are subject to biller policies and may take 5–7 business days.

9. Limitation of Liability

To the maximum extent permitted by law, N Gram Technologies shall not be liable for any claims, losses and liabilities arising from:

• Investment decisions made using information or tools on this Platform
• Market fluctuations, NAV changes, or scheme performance
• Technical failures, downtime, or interruption of services beyond our reasonable control
• Any event classified as Act of God, such as civil unrest, war, flood, fire, drought, famine, epidemic, pandemic etc.
• Unauthorised use of your account credentials
• Errors or delays in transaction processing by third-party systems (AMCs, RTAs, banks, BBPS network)
• Any decision made based upon any information obtained through third parties including but not limited to AMCs, RTAs, research providers, or market data vendors, and any opinions, recommendations, or research tools made available on the Platform
• Any tax liability, penalties, or regulatory actions arising from your transactions, KYC status, or failure to comply with any statutory laws, bye-laws, orders, circulars, notifications rules & regulations, failure to comply with any other applicable laws and also failure to comply with any order/direction directed by any central or state government authorities, regulatory, judicial or quasi judicial authority
• Any loss/liability arising from any act, omission, negligence, non compliance that is attributable to you such as misuse of the Platform, violation of Terms of Use, providing incorrect information, or failure to review transaction details before confirming
• N Gram Technologies shall not be liable to any Customer, Clients or any Third Party for any indirect, incidental, consequential, INDIRECT, INCIDENTAL, reliance or special damages including but not limited to damages for lost profits, regardless of the form of action whether in contract, indemnity, warranty, strict liability or tort arising from or related to the performance of the duties or obligations of customer/client, in accordance with the terms set forth herein or with the rendering of the services set hereunder

In no event shall our aggregate liability to you exceed the fees, if any, paid by you to us in the preceding three months.

10. Termination

N Gram Technologies reserves the right to suspend or terminate your access to the Platform at our discretion, without notice, if we believe you have violated these Terms or applicable laws. You may discontinue the usage of this Platform at any time. Existing investment holdings shall however, continued to be managed by the respective AMCs, regardless of the Platform access.

11. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of India. In event of any dispute, the parties shall agree to attempt to amicably resolve their differences through good-faith & negotiation prior to initiation of any legal proceedings. Upon failure to resolve any dispute arising from or related to these Terms or usage of the Platform, the same shall be subjected to the exclusive jurisdiction of the courts located in Tamil Nadu, India. The Parties, if mutually desirous, may resort to arbitration proceedings conducted in accordance with The Arbitration and Conciliation Act, 1996 by appointing a sole arbitrator mutually agreed by the Parties.The venue of arbitration shall be Chennai, Tamil Nadu, India. The arbitration proceedings shall be conducted in English.
